1. Acceptance of These Terms

These Terms of Use (the “Terms”) govern access to and use of the website onadaventures.com (the “Website”), owned and operated by Onada Ventures, as identified in the Legal Notice. By accessing or using the Website, you (the “User”) declare that you are of legal age and have the capacity to enter into binding agreements, and you accept these Terms in full. If you do not agree with any part of these Terms, you must refrain from using the Website.

2. Purpose and Description of Services

Onada Ventures operates as a venture builder and strategic advisory platform, providing information about its activities and enabling entrepreneurs and startups to submit their projects for consideration. As part of its activities, Onada Ventures may introduce selected projects to potential private investors, on the terms set out in Section 3 below. Nothing published on the Website constitutes: (i) investment advice; (ii) an offer, invitation or solicitation to invest in any project, company or financial instrument; or (iii) a commitment by Onada Ventures to provide advisory, incubation or funding services to any specific project.

3. Nature of Services: No Investment Advice or Fund Management

Onada Ventures does not manage third-party funds, does not provide investment advice, and does not act as an intermediary in the placement of securities. Onada Ventures’ role, where applicable, is limited to introducing selected projects to potential private investors. Any decision to invest is made solely and independently by the investor, following its own due diligence, and Onada Ventures assumes no responsibility for the outcome, terms, or performance of any investment made as a result of such introduction.

Nothing on the Website constitutes investment advice, a recommendation, or an offer or solicitation to buy or sell any security. Onada Ventures does not guarantee, and assumes no liability for, the accuracy of any information provided by a submitting project to a prospective investor, nor for the outcome of any negotiation or transaction between them.

4. Startup Submissions

The Website may allow startups and entrepreneurs to submit information about their projects (a “Submission”) for evaluation by Onada Ventures. By making a Submission, the User acknowledges and agrees to the following:

• No obligation is created. A Submission does not create, and shall not be construed as creating, any investment commitment, advisory relationship, partnership, joint venture, agency or contractual obligation of any kind between the submitting party and Onada Ventures.
• Discretionary review. Onada Ventures reviews Submissions at its sole discretion and is under no obligation to respond, provide feedback, or give reasons for accepting or declining a Submission, nor to observe any particular timeframe for doing so.
• No confidential information without an NDA. The User must not include confidential, proprietary or trade-secret information in a Submission unless a non-disclosure agreement (NDA) has been previously signed between the User and Onada Ventures. Onada Ventures assumes no confidentiality obligation over information submitted without a prior signed NDA.
• Sharing with Onada Ventures’ investor network. Where a Submission is selected, Onada Ventures will share it with potential investors from its private network. All investors in this network have previously entered into a confidentiality/non-disclosure agreement with Onada Ventures, which covers information received in relation to submitted projects. This confidentiality undertaking runs between Onada Ventures and the investor and does not create any direct contractual relationship between the User and the investor. Should the User’s project advance to further discussions with a specific investor, Onada Ventures recommends that the User agree any additional, transaction-specific confidentiality terms directly with that investor before disclosing material beyond what was included in the original Submission.
• Ownership of intellectual property. Founders and submitting parties retain full ownership of all intellectual property rights relating to their project, including any ideas, materials, business plans, or technology disclosed in a Submission. No transfer or licence of such intellectual property to Onada Ventures is granted or implied by the mere act of submission.
• Accuracy of information. The User is solely responsible for the accuracy, legality and completeness of the information provided in a Submission, and warrants that it has all necessary rights and authorisations to disclose such information.
• No due diligence or verification implied. The review of a Submission by Onada Ventures does not constitute legal, financial, tax or business due diligence, nor any form of validation, endorsement or guarantee regarding the viability, legality or value of the submitted project.

5. Intellectual Property of the Website

All intellectual and industrial property rights over the Website and its content are owned by Onada Ventures or used under licence, as set out in the Legal Notice. Nothing in these Terms grants the User any rights over such content beyond those strictly necessary to browse and use the Website for its intended purpose.

6. Acceptable Use

The User undertakes to use the Website in accordance with the law, good faith, public order and these Terms, and, in particular, agrees not to:

• Submit or promote projects, activities or content that are illegal, unethical, fraudulent, or that infringe third-party rights (including intellectual property, privacy or data protection rights);
• Use the Website to send unsolicited communications, spam, or engage in phishing or other deceptive practices;
• Attempt to gain unauthorised access to the Website, its servers, or any systems or networks connected to it;
• Introduce viruses, malware or any other harmful code, or otherwise interfere with the normal operation of the Website;
• Extract, scrape or reuse substantial parts of the Website’s content without authorisation.

Onada Ventures reserves the right to refuse, suspend or terminate a User’s access to the Website, and to reject or disregard any Submission, if it reasonably considers that this clause has been breached.

7. Third-Party Links

The Website may contain links to third-party websites or resources. Onada Ventures does not endorse and is not responsible for the content, products, services, or privacy practices of such third parties. Access to linked websites is at the User’s own risk.

8. Disclaimer of Warranties

The Website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Onada Ventures disclaims all warranties, express or implied, regarding the accuracy, completeness, reliability, availability or fitness for a particular purpose of the Website and its content.

9. Limitation of Liability

To the extent permitted by applicable law, Onada Ventures shall not be liable for any direct or indirect damages, loss of profits, loss of business opportunity, or other losses arising from or in connection with the use of, or inability to use, the Website, including damages arising from a Submission, a decision to accept or decline a Submission, or reliance on any information published on the Website. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Spanish law, including liability for wilful misconduct (dolo) or gross negligence.

10. Data Protection

Any personal data provided through the Website, including through a Submission, will be processed in accordance with our Privacy Policy, which forms an integral part of these Terms.

11. Modifications to These Terms

Onada Ventures may amend these Terms at any time to reflect changes in its services, legal requirements, or business practices. The updated Terms will be published on the Website with an updated “Last updated” date, and will apply from the moment of publication. Continued use of the Website after publication of the amended Terms constitutes acceptance of the changes.

12. Term and Termination

These Terms shall remain in force for as long as the Website is available and the User continues to access or use it. Onada Ventures may, at its discretion, suspend or discontinue the Website, in whole or in part, at any time, and may restrict or terminate a User’s access in case of breach of these Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.

14. Governing Law and Jurisdiction

These Terms are governed by Spanish law. Any dispute arising from or in connection with these Terms or the use of the Website shall be submitted to the Courts and Tribunals of Barcelona, Spain, except where mandatory consumer-protection legislation provides for a different competent jurisdiction.
